  • A Limited Company shall be 51% owned by Thai nationals, unless your company applies for a Foreign Business License (FBL) before operating.     Some Limited Companies are set up in a single day, although it can take several days or weeks to finalize the process. You must go through various steps to set up your company.<\/p>

    • You need to reserve your company name. The Business Development Office in the Ministry of Commerce has guidelines in place for reserving a name. Follow these guidelines to secure your company\u2019s name.<\/li>
    • You need to file a Memorandum of Association. This memorandum contains the company\u2019s name, address, personal details of the promoters, authorized capital, and the number of shares each promoter has. It also must include the objectives set forth by the company.<\/li>
    • All involved parties also must conduct a statutory meeting. During the meeting, you must approve the articles of incorporation and the bylaws and elect a board of directors. Your company also needs to appoint an auditor and ratify the expenditures and transactions of the funders.<\/li>
    • Your company\u2019s director will then register the company. Each Limited Company must be registered with the Commercial Registrar.<\/li>
