Founders who know LLCs or private limited companies elsewhere will recognize how shares, directors and shareholder meetings work, which makes it the easiest entry point for foreign entrepreneurs.\u003C\u002Fp>\u003Cp>Liability is limited. Shareholders cannot lose more than the capital they put in: if the business fails, their personal assets are not exposed to its debts.\u003C\u002Fp>\u003Cp>Control can be structured. A limited company can issue ordinary and preference shares, so voting and dividend rights can be set in the Articles of Association to keep control with the founders as the company grows.\u003C\u002Fp>\u003Cp>It can operate in most sectors, with the relevant license where an activity is regulated. Roles are set out in writing, in the Articles of Association and the company registration, so every director and shareholder knows their duties and can refer back to them.\u003C\u002Fp>\u003Cp>It can be foreign-owned. Activities not restricted by the Foreign Business Act, or covered by BOI promotion, a Foreign Business License (FBL) or the US-Thai Treaty of Amity, allow majority or 100% foreign ownership. Most Thai banks ask the authorized director to attend in person to open the account; after that, you can manage it online from anywhere.\u003C\u002Fp>\u003Ch2>Drawbacks of a limited company\u003C\u002Fh2>\u003Cp>The limited company is the simplest and most popular option, but two constraints matter for foreign owners:\u003C\u002Fp>\u003Cul>\u003Cli>Foreign shareholders may hold at most 49% of a company whose activities are restricted under the Foreign Business Act, unless the company obtains a Foreign Business License (FBL), BOI promotion or Treaty of Amity status before it starts operating. The steps below explain each one.\u003C\u002Fp>\u003Ch2>How to set up a limited company in Thailand\u003C\u002Fh2>\u003Cp>How long registration takes depends on the authority and on your documents, for example when documents come from abroad and need to be notarized. The steps:\u003C\u002Fp>\u003Cul>\u003Cli>Reserve the company name with the Department of Business Development (DBD), following its naming rules.\u003C\u002Fli>\u003Cli>File the memorandum of association. It states the company’s name, registered office, objectives and registered capital, and the promoters’ details and number of shares.\u003C\u002Fli>\u003Cli>Hold the statutory meeting. The shareholders adopt the Articles of Association, elect the directors, appoint the auditor and approve the expenses the promoters paid before incorporation.\u003C\u002Fli>\u003Cli>Register the company. The director files the registration with the DBD registrar, and the company receives its registration number, which is also its 13-digit tax identification number. DBD registration fees depend on the registered capital.\u003C\u002Fli>\u003Cli>Register for value added tax (VAT) or specific business tax if your activity requires it.
