    You receive the FBL. You then keep the capital, Thai staffing commitments, and activity scope, and notify the DBD of changes within the legal deadlines (15 days for relocating or ceasing the licensed business).

Why applications are delayed or refused

The Foreign Business Committee does not approve every List 3 application on first review. In our experience, the usual reasons are: (1) weak job commitments: too few Thai hires, or roles too junior; (2) a vague technology-transfer plan: a training schedule that does not hold up to questions; (3) capital below the THB 3 million minimum; (4) an unclear activity scope that strays into List 1, where foreign majority is prohibited.

We address all four before submission. For an eligible activity, what usually decides the outcome is how clearly the application shows its economic benefits.

Who this is for

Who needs a Foreign Business License in Thailand?

An FBL is for foreign-majority companies in restricted activities, when neither BOI promotion nor the US-Thai Treaty of Amity is available.

  • Non-US companies (for example French consultancies, German engineering firms, or Korean trading houses) that want 100% ownership of a List 3 activity where BOI promotion is not available; the Treaty of Amity only covers US owners.
  • Foreign service businesses (IT, marketing, accounting, legal, architecture) whose activity is on List 3 and that need to invoice Thai customers directly.
  • Foreign-owned restaurant groups and hospitality operators whose activity is restricted and not promoted by the BOI.
  • Pharmaceutical distributors and medical-device importers whose wholesale activity requires technology-transfer and Thai staff training commitments to the Foreign Business Committee.
  • Foreign-majority Thai companies already operating a restricted activity without a license: we advise you to stop that activity and prepare the FBL application to put things right.
  • Foreign founders who have confirmed that neither BOI promotion nor the Treaty of Amity applies: an FBL is then the only legal route to foreign majority in their restricted activity.
