  1. Step 1:Change assessment

  • Every Thai limited company that needs its yearly AGM, Bor Or Jor 5 filing, and approval of audited financial statements done properly: failing to hold the AGM is an offense under the CCC, and lenders, auditors, and buyers who check the DBD record notice a missing AGM first.
  • Investors joining the shareholder register: share transfers carry 0.1% stamp duty, need an updated share register and share certificates, and, where a foreign buyer enters a restricted sector, a Foreign Business Act B.E. 2542 review. An unstamped transfer instrument cannot be used as evidence until the duty is paid.
  • Companies appointing or replacing a director: the 14-day DBD registration window runs from the date of the change, not the date you file. An unregistered director change is one of the most common governance weaknesses found in M&A due diligence.
  • Businesses increasing registered capital to meet the THB 2 million paid-up capital per work permit, satisfy a BOI condition, or bring in a new investor: one EGM approves the capital change, the MOA amendment, and the share register update.
  • Companies moving their registered address: the Revenue Department sends assessment notices to the registered address, and they count as delivered even if you have moved. An outdated address means tax letters go to the wrong place.
  • Finance directors of multinational subsidiaries after a group change: director and shareholder changes across several Thai entities, coordinated in one engagement.
  • Startups preparing a funding round: unregistered director changes, unstamped past share transfers, and missing AGM records can stall a deal in due diligence.
