What the starter package covers

  • Your Thai limited company

    Incorporation with the DBD under the Civil and Commercial Code, company affidavit, shareholder list and company stamp, with your ownership checked against the Foreign Business Act first.

  • VAT and Social Security

    VAT registration with the Revenue Department and employer registration with the Social Security Office, the two registrations a company needs before it can sponsor a work permit.

  • Bank account, visa and work permit

  • The bookkeeping tier depends on your volume: SME covers up to 50 transactions a month. Above that, Enterprise is THB 20,900 and Corporate THB 26,900 a month.
  • The visa and work permit line covers one person. Each additional foreign employee needs its own application and its own THB 2 million of capital and 4 Thai employees.

What you will pay for separately

These costs come up in year one for most companies but depend on your situation, so they are not in the total above.

  • Annual statutory audit

    Every Thai limited company needs its financial statements audited by a Thai CPA each year, whatever its revenue. Our partner CPA firm quotes it separately.

  • Annual corporate income tax return (PND.50)

    THB 5,900 per year, with the financial statements submission.

  • Xero subscription

    THB 1,600 per month, passed through at the published Xero rate.

  • Directors' personal income tax returns

    PND.90 or PND.91 for a foreign director: THB 10,000 per person per year.

  • Custom Articles of Association

    From THB 20,000 if the standard DBD template does not fit your shareholder arrangements.

  • BOI promotion or a Foreign Business License

    Needed if your activity is restricted under the FBA and you want foreign majority ownership. Quoted separately on the BOI and FBL pages.

  • 90-day reporting and extra visas

    90-day reports (THB 6,000 per year), visas for dependants and work permits for additional foreign staff are priced per person.

  • Salaries, capital and contributions

    Your registered capital, Thai employees' salaries and the employer's Social Security contributions are your costs, not fees.

Conditions to check before you start

The package works when these four conditions are met. We check them in the first consultation, before you pay anything.

  • THB 2 million paid-up capital per work permit

    The Department of Employment generally asks for THB 2 million of paid-up capital for each foreign employee (BOI-promoted companies follow BOI rules instead).

  • 4 Thai employees per work permit

    Four Thai employees registered with the Social Security Office for each work permit. Plan the hires before the application, not after.

  • The director comes to Thailand for the bank

    Incorporation documents can be signed abroad under a notarised power of attorney, but Thai banks require at least one director in person to open the account.

  • No nominees, no visa-only shells

    We do not arrange Thai nominee shareholders (a criminal offence under FBA Section 36) and we do not register companies whose only purpose is a visa, with no real activity.

How It Works

Our Process

A clear, structured approach from start to finish.

  1. Structure and capital check

    We classify your activity under the Foreign Business Act (FBA) lists, confirm the ownership route, and set the registered capital so the work permit criteria (THB 2 million paid-up and 4 Thai employees per work permit) can be met.

  2. Name reservation and documents

    We reserve the company name with the DBD and prepare the Memorandum of Association and statutory documents. Founders abroad can sign under a notarised power of attorney.

  3. Company registration and stamp

    We file the registration on the DBD Biz Regist platform. You receive the company affidavit and shareholder list, and we prepare the company stamp.

  4. Corporate bank account

    We book the bank appointment and prepare the file. At least one director comes to the bank in Thailand to sign; Thai banks do not open the account remotely.

  5. VAT and Social Security registration

    We register the company for VAT (PP.01) with the Revenue Department and as an employer with the Social Security Office, then register your Thai employees.

  6. Non-B visa and work permit

    We prepare the company documents for the Non-Immigrant B visa and file the work permit with the Department of Employment once the company meets the capital and Thai employee criteria.

  7. Accounting set-up and monthly bookkeeping

    We set up your accounts in Xero and start the monthly close: bookkeeping, PP.30, PND.1, PND.3, PND.53 and SSO filings every month, and the half-year PND.51.

Why this matters in Thailand

Five steps that depend on each other

A foreign founder rarely needs just a company. Under the Emergency Decree on Managing the Work of Foreigners B.E. 2560 (2017), you cannot work in Thailand, even for your own company, without a work permit. The work permit needs an operating employer: a registered company with paid-up capital, Thai employees registered under the Social Security Act B.E. 2533 (1990) and, in practice, a VAT registration. The capital has to sit in a Thai corporate bank account, and the bank needs a director in person. Each step unlocks the next.

Once the company exists, the Accounting Act B.E. 2543 (2000) and the Revenue Code start the clock: monthly withholding tax (PND.1, PND.3, PND.53) and Social Security filings, monthly VAT returns (PP.30) once registered, a half-year PND.51, and audited financial statements with the annual PND.50. Missed monthly filings bring surcharges and penalties, and late or missing financial statements cause problems when the work permit is renewed.

That is why foreign founders ask us for one price: the five pages they would otherwise read describe one project. The package keeps each price visible so you can drop a line you do not need, for example the bank account if you already have one arranged, or the visa if you hold another work-authorising visa.
